2. Definitions
The following definitions are used throughout these Terms. Words with initial capital letters have the meanings set out below, whether in singular or plural form:
- Company / EuroFresh – EuroFresh Limited and any subsidiaries or affiliates.
- Customer / you / your – any person, firm or company purchasing Products from EuroFresh or accessing our website.
- Products – the fresh produce and related goods offered for sale by EuroFresh.
- Service – our website and any online facilities, tools, services or information made available through it.
- Content – all text, graphics, images, audio, video, data compilations and any other form of information on the site.
- Contract – a legally binding agreement between EuroFresh and the Customer for the sale and purchase of Products.
3. Use of the Website
- Eligibility: By using the site, you represent that you are at least 18 years old or are accessing the site under the supervision of a parent or guardian.
- Access: We grant you a limited, revocable licence to access and use the site for its intended purpose. You may not reproduce, copy or distribute any content without our express written permission.
- User Behaviour: When using any enquiry forms or communication facilities on the site, you must:
- Provide accurate and truthful information.
- Not use obscene, defamatory or unlawful language.
- Not impersonate any person or company.
- Avoid unauthorised mass communications (spam).
4. Ordering and Formation of Contract
- Placing Orders: Orders may be placed through the website, by email or by phone. When you place an order, you are making an offer to purchase Products under these Terms.
- Order Acceptance: A Contract is formed when we send an Order Acknowledgement or confirm that the Products are ready for dispatch. We reserve the right to refuse orders at our discretion.
- Minimum Order Value: We may impose a minimum order value, which will be stated on our ordering pages.
5. Supply of Products
- Product Descriptions: We aim to ensure that all descriptions and images of Products on the site are accurate. However, due to the nature of fresh produce, there may be slight variations in size, weight, colour or appearance.
- Availability: All Products are subject to availability. If an item is unavailable, we will inform you and may offer a substitute or a refund.
- Quality: Products will be of satisfactory quality and conform in all material respects to their description, subject to normal agricultural variation.
6. Pricing and Payment
- Prices: Unless expressly stated otherwise, prices are quoted in pounds sterling and may include VAT at the applicable rate. Perishable produce is often zero‑rated for VAT.
- Payment Terms: Consumers must pay in advance at the time of ordering. Business customers may be offered credit terms; invoices are payable within the period stated on the invoice. Late payment may accrue interest at the statutory rate.
- Additional Charges: Any charges for packaging, delivery outside standard areas or special handling will be shown at checkout or agreed separately in writing.
7. Delivery
- Delivery Area: EuroFresh offers UK‑wide delivery via refrigerated transport to maintain freshness. We do not currently deliver outside the UK.
- Delivery Completion: Delivery is considered complete once the Products are unloaded at the address you provided.
- Time Estimates: We will provide estimated delivery dates but cannot guarantee exact times. Delays do not entitle you to cancel the order or claim damages.
- Packaging: Delivery crates and boxes remain our property. Please make them available for collection on your next delivery.
8. Acceptance and Returns
- Inspection: You must inspect the Products upon delivery and notify us immediately (and no later than the same day) if they are damaged or do not conform to your order.
- Acceptance: If you do not notify us promptly, you are deemed to have accepted the Products.
- Remedies: For valid rejections, we will either replace the Products or refund the price paid, at our discretion.
9. Intellectual Property
All content on the EuroFresh website, including text, images and logos, is owned by us or our licensors and is protected by UK and international intellectual‑property laws. You may not reproduce or reuse any material without our express written permission. Any third‑party intellectual property (e.g. manufacturers’ product images) remains the property of those parties and may not be reproduced without their consent.
10. Limitation of Liability
- Non‑excludable Liability: Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
- Business Customers: To the fullest extent permitted by law, we are not liable for any indirect or consequential losses (including loss of profit, goodwill or business opportunity). Our total liability in respect of any Contract is limited to the price of the Products supplied.
- Website Use: We make no representations that the website will meet your requirements or be uninterrupted or error‑free. The content on the site is provided for general information and does not constitute advice.
11. Links to Other Websites
The site may include links to third‑party websites. These links are provided for your convenience only. EuroFresh has no control over the content or availability of those sites and accepts no liability for any loss or damage arising from their use.
12. Data Protection and Privacy
Your use of the site is also governed by our Privacy Policy, which explains how we collect, store and process your personal data. Please read it carefully before submitting any personal information.
13. Force Majeure
We are not liable for any failure to perform or delay in performing our obligations under a Contract if it results from events outside our reasonable control, including (but not limited to) extreme weather, natural disasters, strikes, transport disruptions, pandemics or changes in law.
14. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court, the remaining provisions will remain in full force and effect.
15. Changes to Terms
EuroFresh may amend these Terms from time to time to reflect changes in law, best practice or business operations. We will post updated terms on our website; please check regularly. The terms in force at the time you place an order will apply.
16. Governing Law and Jurisdiction
These Terms and any disputes arising out of them (whether contractual or non‑contractual) are governed by English law. The courts of England and Wales have exclusive jurisdiction over any claim relating to these Terms.
